Terms & Conditions

Placeholder legal content. This page is a standard SaaS terms-of-service starting point, not a reviewed legal document. Have a lawyer review and finalize it — including the bracketed [placeholders] below — before this page is published or relied on.

1. Agreement to Terms

These Terms & Conditions ("Terms") govern access to and use of the Namin Business Intelligence Suite software application (the "Service"), provided by [Namin Solution legal entity name], a company incorporated in [jurisdiction] ("Namin," "we," "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and the company you represent ("Customer," "you").

2. The Service

The Service connects to a Customer's own QuickBooks Online account and provides purchasing, inventory, and shipment-workflow tools built on top of that data. Namin is not affiliated with Intuit Inc. and QuickBooks remains the Customer's own system of record; the Service reads from and writes to it via QuickBooks' official API under authorization the Customer grants and can revoke at any time.

3. Accounts & Access

Customer is responsible for all activity under its accounts, for maintaining the confidentiality of login credentials, and for configuring which of its own users may access which parts of the Service via the role and permission controls it provides. Namin may suspend an account it reasonably believes is being used in violation of these Terms or in a way that risks the security or availability of the Service for other customers.

4. Fees & Payment

Fees are as set out in the applicable order form, subscription tier, or written agreement between Customer and Namin. Except as otherwise agreed in writing, fees are billed in advance on a recurring basis and are non-refundable. Namin may change pricing for future billing periods with reasonable advance notice.

5. Customer Data

Customer retains all rights to its own business data (products, vendors, orders, and any data synced from or written to QuickBooks). Namin will not use Customer data for any purpose other than providing, maintaining, and improving the Service, except as required by law or with Customer's consent. See our Privacy Policy for how data is handled.

6. Acceptable Use

Customer will not (a) attempt to access another customer's data or company environment, (b) reverse-engineer or attempt to extract the Service's source code, (c) use the Service to store or transmit unlawful content, or (d) interfere with the Service's security or normal operation.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Namin disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Namin does not warrant that the Service will be uninterrupted, error-free, or that QuickBooks data will sync without delay.

8. Limitation of Liability

To the fullest extent permitted by law, Namin's total liability arising out of or related to these Terms or the Service will not exceed the fees paid by Customer in the [twelve (12)] months preceding the claim, and Namin will not be liable for indirect, incidental, special, consequential, or punitive damages.

9. Termination

Either party may terminate the applicable subscription in accordance with the notice period set out in the order form or agreement. Namin may suspend or terminate access immediately for a material breach of these Terms, including non-payment. On termination, Customer's access to the Service ends; Customer data export, where applicable, is available for a limited period as described in the order form.

10. Governing Law

These Terms are governed by the laws of [province/state, country], without regard to conflict-of-law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of [jurisdiction].

11. Changes to These Terms

Namin may update these Terms from time to time. Material changes will be notified to Customer through the Service or by email; continued use of the Service after the effective date of a change constitutes acceptance.
